Important: VeriTicket is a technology platform that acts as an intermediary between event organizers and ticket buyers. VeriTicket is NOT an organizer, promoter, or producer of events.
1. Definitions and Nature of Service
1.1 Definitions
For the purposes of these Terms of Service, the following definitions apply:
- VeriTicket or "The Platform": Technological ticket management and sales system operated by VeriTicket.
- Organizer: Natural or legal person who uses the Platform to manage and sell tickets to their events.
- Buyer: Natural person who purchases tickets through the Platform.
- Event: Activity, show, or occurrence organized by the Organizer for which tickets are sold.
- Entry or Ticket: Digital document that grants the right of access to an Event.
1.2 Nature of Service
VeriTicket is a technology intermediation platform that facilitates the connection between event Organizers and ticket Buyers. Pursuant to Article 8 of Ecuador's Electronic Commerce Law (Law 67), VeriTicket acts exclusively as a technology intermediary and:
- Does NOT organize, produce, promote, or execute events.
- Is NOT responsible for content published by Organizers.
- Does NOT guarantee the execution, quality, or characteristics of events.
- Does NOT maintain an employment or dependency relationship with Organizers.
2. Disclaimer of Liability
In accordance with Article 8 of Ecuador's Electronic Commerce Law, VeriTicket, as a technology intermediary, is NOT responsible for:
2.1 Regarding Events
- The execution, cancellation, suspension, or modification of events.
- Obtaining municipal, health, or any other type of permits.
- Compliance with safety, capacity, or evacuation regulations.
- The quality, content, or duration of the event.
- Personal or material damages occurring during the event.
- The behavior of artists, exhibitors, or participants.
2.2 Regarding Transactions
- Refund policies established by each Organizer.
- Refunds resulting from event cancellations or modifications.
- Disputes between Organizers and Buyers.
- The accuracy of information provided by Organizers.
Note: The contractual purchase relationship is established directly between the Organizer and the Buyer. VeriTicket only provides the technological infrastructure for this transaction.
3. Organizer Responsibilities
By using the Platform, the Organizer agrees to:
3.1 Legal Compliance
- Obtain all permits, licenses, and authorizations necessary for the event.
- Comply with applicable Ecuadorian legislation, including municipal, health, and safety regulations.
- Contract the appropriate civil liability insurance.
- Comply with tax obligations arising from ticket sales.
3.2 Payment Obligations
- Pay VeriTicket the corresponding commission for each ticket sold through the Platform.
- Applicable commissions and fees will be those in effect at the time of sale, as established in the contracted plan.
- Commission payment must be made at the time of activating the event (enabling the scanning and ticket validation system).
- VeriTicket does not intervene in ticket sales collection. The Organizer configures and manages their own payment channels (box office, bank transfers, deposits, web payment gateways), receiving 100% of their revenue directly.
- Failure to pay commissions may result in the inability to activate the event and use scanning and ticket validation features.
3.3 Accurate Information
- Provide accurate and up-to-date information about the event.
- Not publish false, misleading, or deceptive content.
- Communicate any changes in event conditions in a timely manner.
3.4 Refund Policies
- Establish and clearly communicate their refund policies.
- Directly manage refunds when applicable.
- Assume economic responsibility for cancellations or modifications.
3.5 Indemnification
The Organizer agrees to hold VeriTicket harmless against any claim, demand, damage, or loss arising from:
- The organization, execution, or cancellation of the event.
- Non-compliance with applicable regulations.
- Third-party claims, including buyers, authorities, or suppliers.
- Inaccurate or misleading information published on the Platform.
3.6 Identity Verification
To register as an Organizer on the Platform, it is mandatory to:
- Provide valid and verifiable identification data (national ID for individuals or RUC/tax ID for legal entities).
- Supply real and up-to-date contact information (address, phone number, email).
- Authorize VeriTicket to verify the authenticity of the documents and information provided.
- Keep account information updated at all times.
VeriTicket reserves the right to request additional documentation, including but not limited to: proof of address, business references, venue rental agreements, or any other document deemed necessary to verify the legitimacy of the Organizer and their events.
3.7 Organizer Declarations and Warranties
When creating an event on the Platform, the Organizer declares under oath and warrants that:
- The event is real and legitimate, with genuine intention to take place at the indicated date, time, and location.
- They have the legal and financial capacity to organize and execute the event.
- They have obtained or are in the process of obtaining all necessary permits and authorizations from competent authorities.
- The venue where the event will take place exists, is available, and has been reserved for the event date.
- All information published about the event is truthful, accurate, and not misleading.
- They will not use the Platform for fraudulent, deceptive, or illegal activities of any kind.
- They have the intention and means to fulfill all obligations arising from ticket sales, including holding the event or refunding buyers in case of cancellation.
Legal Warning: False or misleading declarations constitute fraud and may result in criminal prosecution under Ecuadorian law.
3.8 Fraud Prevention and Legal Consequences
VeriTicket implements fraud prevention measures and reserves the right to:
- Establish sales limits for new Organizers or those without verifiable history.
- Request additional guarantees for large-scale events.
- Suspend the account and event upon signs of fraudulent activity.
- Report suspicious activities to competent authorities.
In case of proven fraud, including but not limited to selling tickets for non-existent, fictitious events, or events with no intention of being held, VeriTicket will:
- File a criminal complaint for the crime of fraud under Article 186 of Ecuador's Comprehensive Organic Criminal Code (COIP), which provides for prison sentences of 5 to 7 years when the defrauded amount exceeds 50 unified basic salaries.
- Actively collaborate with the Attorney General's Office and competent authorities, providing all available information and evidence.
- Provide affected buyers with the necessary information so they can pursue their own legal actions.
- Initiate civil actions to collect owed commissions, damages, and losses, including reputational damage caused to the Platform.
Note: The Organizer acknowledges that by accepting these Terms, they expressly consent to VeriTicket providing their personal data and all account information to competent authorities in case of investigation for fraud or illicit activities.
4. Buyer Responsibilities
By purchasing tickets through the Platform, the Buyer acknowledges and accepts that:
- The contractual purchase relationship is established directly with the Organizer.
- They must verify the conditions, date, time, and location of the event before making a purchase.
- Refund policies are established by each Organizer.
- VeriTicket does not guarantee the execution or characteristics of the event.
- Event-related claims should be directed to the Organizer.
5. Platform Use
5.1 Terms of Use
Platform users agree to:
- Provide accurate and up-to-date information.
- Not use the Platform for illegal or unauthorized purposes.
- Not attempt to access systems or data without authorization.
- Not reproduce, duplicate, or resell tickets fraudulently.
5.2 Prohibited Conduct
The following is expressly prohibited:
- Unauthorized ticket resale.
- Ticket forgery or alteration.
- Use of bots or automated systems for bulk purchases.
- Any activity that may damage the reputation or operation of the Platform.
5.3 Account Suspension
VeriTicket reserves the right to suspend or cancel user accounts that violate these Terms of Service, without prior notice and without entitlement to compensation.
6. Intellectual Property
All intellectual property rights over the Platform, including software, design, logos, trademarks, and content, belong to VeriTicket or its licensors. Reproduction, distribution, or modification without express authorization is prohibited.
7. Limitation of Liability
To the maximum extent permitted by Ecuadorian law:
- VeriTicket shall not be liable for indirect, incidental, special, or consequential damages.
- VeriTicket's maximum liability shall be limited to the amount of commissions actually collected in the last 12 months.
- VeriTicket does not guarantee uninterrupted availability of the Platform.
8. Indemnification
Users agree to indemnify and hold harmless VeriTicket, its directors, employees, and affiliates, against any claim, damage, loss, or expense arising from the use of the Platform or breach of these Terms.
9. Jurisdiction and Applicable Law
These Terms of Service shall be governed and interpreted in accordance with the laws of the Republic of Ecuador. For any dispute arising from these Terms, the parties submit to the jurisdiction of the ordinary courts of the city of Quito, waiving any other jurisdiction that may correspond to them.
10. Modifications and Final Provisions
10.1 Modifications
VeriTicket reserves the right to modify these Terms of Service at any time. Modifications will take effect upon publication on the Platform. Continued use of the Platform after the publication of changes constitutes acceptance of them.
10.2 Severability
If any provision of these Terms is declared null or unenforceable, the remaining provisions shall remain in full force and effect.
